Cooveb Terms of Service

1. Agreement to These Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Cooveb ("Cooveb", "we", "us", or "our") governing your access to and use of the Cooveb website, platform, mobile experience, AI concierge, event Pods, and all related services (collectively, the "Services").
By creating an account, accessing the Services, or clicking "I agree" (or any equivalent), you confirm that:
- You have read, understood, and agreed to these Terms and our Privacy Policy.
- You are at least 18 years of age, or are at least 16 years of age and have obtained verifiable parental or guardian consent.
- If acting on behalf of an organization or institution, you have the authority to bind that entity to these Terms.
If you do not agree, do not use the Services.
2. Definitions

| Booking | A hotel reservation or other ancillary service arranged through Cooveb |
| Content | Any text, images, data, listings, schedules, or materials uploaded to or created on the platform |
| Platform Fees | Service fees charged by Cooveb for use of paid features |
3. Accounts and Registration
3.1 Eligibility
You must be at least 18 years old (or 16 with parental consent) to create an account. By registering, you represent that all information you provide is accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Choose a strong, unique password and keep it confidential
- Notify us immediately at privacy@cooveb.com if you suspect unauthorized access to your account
- Not share your account with others or allow others to use your credentials
Cooveb is not liable for any losses arising from unauthorized use of your account due to your failure to safeguard your credentials.
3.3 Account Types
Cooveb offers distinct account roles, each with its own permissions and obligations:
- Attendee accounts: For discovering events, booking hotels, and managing registrations
- Organizer accounts: For creating Pods, managing events, publishing sponsorship packages
- Sponsor accounts: For browsing, applying to, and purchasing sponsorship packages
- Institutional accounts: For bulk employee or student registrations and budget management
Misrepresenting your role type or using one account type to access features reserved for another is a violation of these Terms.
3.4 Account Termination by You
You may delete your account at any time. Deletion is subject to our data retention obligations described in the Privacy Policy. Outstanding payment obligations and active bookings survive account deletion.
4. The Services
4.1 Event Discovery and Registration
Cooveb enables Attendees to discover conferences, conventions, and events; view event details generated via Pods; and register or purchase tickets. Event details, schedules, and availability are provided by Organizers and third-party sources. Cooveb does not guarantee the accuracy or completeness of event information.
4.2 Pods
A Pod is an AI-generated branded event mini-app created from an event URL or Organizer input. Pods may include ticketing, schedules, AI assistant features, check-in via QR code, hotel discovery, maps, and a live feed. Pods are created and owned by Organizers. Cooveb provides the Pod creation infrastructure but is not responsible for the content published within individual Pods.
4.3 Hotel and Ancillary Bookings
Cooveb facilitates hotel discovery and booking through integrations with third-party hotel content and distribution providers (including but not limited to Amadeus and Hotelbeds). When you make a hotel booking through Cooveb:
- Your booking is with the hotel or accommodation provider, not with Cooveb.
- Cooveb acts as an intermediary/booking facilitator, not as a hotel, travel agent, or principal.
- Hotel terms, cancellation policies, and check-in requirements are set by the property and apply to your booking.
- Cooveb is not liable for hotel service quality, cancellations, overbookings, or disputes between you and the property.
4.4 AI Concierge and Recommendations
Cooveb's AI assistant and recommendation engine use your search inputs and preferences to surface relevant results. AI-generated responses and suggestions:
- Are informational only and do not constitute professional advice (legal, financial, medical, or travel advice)
- May be inaccurate, incomplete, or outdated
- Are not guaranteed to be error-free
You are solely responsible for decisions made based on AI-generated suggestions.
4.5 Sponsorship Marketplace
Organizers may list sponsorship packages on Cooveb. Sponsors may apply for or purchase packages through the platform. Any sponsorship agreement is between the Organizer and the Sponsor. Cooveb is not a party to sponsorship agreements and is not liable for the fulfillment, quality, or outcomes of any sponsorship arrangement.
4.6 Institutional Features
Institutions using Cooveb's bulk registration, policy management, or travel management tools are responsible for ensuring they have appropriate authority and consent from their employees, students, or members before submitting registrations or personal data on their behalf.
5. Organizer Obligations
If you use Cooveb as an Organizer, you additionally agree to:
5.1 Content Accuracy
- Provide accurate, truthful, and lawful event information
- Keep event details, schedules, and ticket availability up to date
- Promptly notify Attendees of any material changes to an event (date, venue, cancellation)
5.2 Ticket Fulfillment
- Honor all tickets and registrations sold or issued through your Pod
- Process refunds in accordance with the refund policy you publish on your Pod
- Cooveb is not liable for your failure to fulfill ticket or registration commitments
5.3 Prohibited Events
You may not create Pods or list events that:
- Are fraudulent, fictitious, or intended to deceive Attendees
- Promote illegal activity
- Violate any applicable law, regulation, or third-party rights
5.4 Organizer Responsibility for Pods
You own and are solely responsible for all content within your Pod, including the accuracy of schedules, speakers, maps, and any third-party content you upload. Cooveb reserves the right to remove Pods that violate these Terms without prior notice.
6. Payments and Fees
6.1 Ticketing and Booking Payments
Payments for event tickets, hotel bookings, and other transactions are processed by our third-party payment processor(s). By submitting payment, you authorize us and our processor to charge your payment method for the stated amount.
6.2 Platform Fees
Cooveb charges Platform Fees for certain features, including but not limited to paid Organizer tiers, featured Pod listings, and premium Attendee features. Applicable fees are disclosed before any purchase is completed.
6.3 Refunds
- Event tickets: Refund policies are set by the Organizer and displayed on the relevant Pod or event page. Cooveb's Platform Fees are non-refundable.
- Hotel bookings: Cancellation and refund terms are governed by the property's cancellation policy disclosed at the time of booking. Cooveb has no authority to override hotel cancellation policies.
- Cooveb subscriptions: Subscription fees are non-refundable except where required by applicable law.
6.4 Taxes
You are responsible for all applicable taxes on your purchases. Where required by law, Cooveb may collect and remit sales tax, VAT, or similar taxes.
6.5 Disputed Charges
If you believe a charge is incorrect, contact us at privacy@cooveb.com within 60 days of the charge. We will investigate and respond promptly.
7. User Content
7.1 Your Ownership
You retain ownership of Content you submit or upload to Cooveb (event descriptions, images, schedules, etc.).
7.2 Licence to Cooveb
By submitting Content to Cooveb, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to use, host, store, display, reproduce, and distribute that Content solely to provide and improve the Services. This licence ends when you delete your Content or your account, except where required for legal compliance or backups within our standard retention periods.
7.3 Content Standards
You must not upload or transmit Content that:
- Is false, misleading, defamatory, obscene, or harassing
- Infringes any intellectual property, privacy, or other third-party rights
- Contains malware, viruses, or malicious code
- Violates any applicable law or regulation
- Collects personal data from other users without their consent
7.4 Cooveb's Right to Remove Content
Cooveb reserves the right (but not the obligation) to review, moderate, or remove any Content at our sole discretion, including Content that violates these Terms or that we determine is harmful to Users, Cooveb, or third parties.
8. Intellectual Property
8.1 Cooveb's IP
All elements of the Cooveb platform — including but not limited to the software, design, UI, trademarks, logos, AI models, Pod creation engine, and documentation — are owned by or licensed to Cooveb and are protected by intellectual property law. Nothing in these Terms transfers any ownership of Cooveb's intellectual property to you.
8.2 Restrictions
You may not:
- Copy, modify, distribute, sell, or sub-licence Cooveb's software or proprietary content
- Reverse-engineer, decompile, or disassemble any part of the Services
- Use Cooveb's trademarks or branding without prior written consent
- Scrape, crawl, or extract data from the platform via automated means without express permission
9. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose
- Impersonate any person, organization, or Cooveb representative
- Spam, harass, or send unsolicited messages to other users
- Attempt to gain unauthorized access to any account, system, or network
- Interfere with or disrupt the Services or servers connected to them
- Use the Services to circumvent, disable, or interfere with security features
- Create multiple accounts to abuse promotions, evade bans, or circumvent restrictions
- Post, transmit, or distribute any content that violates these Terms or applicable law
Violations may result in immediate account suspension or termination and, where warranted, referral to law enforcement.
10. Third-Party Services and Links
The Services may integrate with or link to third-party services (hotel providers, payment processors, map services, event platforms). Cooveb does not control and is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their own terms.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
To the maximum extent permitted by applicable law, Cooveb expressly disclaims:
- Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
- Any warranty that the Services will be uninterrupted, error-free, secure, or free of viruses
- Any warranty as to the accuracy, completeness, or reliability of event information, hotel listings, AI outputs, or third-party content
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COOVEB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Costs of substitute services or events
IN ANY EVENT, COOVEB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COOVEB IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Cooveb, its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services
- Your Content
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Any event you organise through Cooveb (if you are an Organizer)
14. Termination
14.1 By You
You may stop using the Services and delete your account at any time.
14.2 By Cooveb
Cooveb may suspend or terminate your account and access to the Services at any time, with or without notice, if:
- You violate these Terms or our policies
- We are required to do so by law
- We reasonably believe your account poses a security or fraud risk
- We discontinue the Services (with reasonable notice where feasible)
14.3 Effect of Termination
On termination, your right to use the Services ends immediately. Sections that by their nature should survive (including Sections 7.2, 8, 11, 12, 13, 15, and 16) will survive termination.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by and construed in accordance with applicable law. To the extent permitted by law, disputes will be governed by the laws of the jurisdiction in which Cooveb is incorporated, without regard to conflict of law principles.
15.2 Informal Resolution
Before initiating any formal dispute process, you agree to first contact us at privacy@cooveb.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve your concern within 30 days.
15.3 Disputes
If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Services will be resolved through binding arbitration or in the courts of competent jurisdiction, as required by applicable law in your country of residence.
EU and UK users: Nothing in these Terms limits your right to bring claims before your local courts or relevant regulatory authority.
Australian users: Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot be waived by contract.
16. General
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Cooveb regarding the Services and supersede all prior agreements.
16.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed without affecting the remaining provisions.
16.3 No Waiver
Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.
16.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. Cooveb may assign these Terms (in whole or in part) to an affiliate or in connection with a merger, acquisition, or sale of assets, with reasonable notice to you.
16.5 Force Majeure
Cooveb is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, acts of government, internet failures, or third-party service outages.
16.6 Notices
We may provide notices to you via email (to the address on your account) or via in-platform notifications. You may provide notices to us at privacy@cooveb.com.
17. Changes to These Terms
Cooveb may modify these Terms at any time. When we make material changes, we will:
- Post the updated Terms with a revised effective date
- Notify registered users by email or in-app notice at least 14 days before the changes take effect (except where changes are required immediately by law)
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and delete your account before the effective date.
